TERMS OF SERVICE AND USER AGREEMENT =====================================

PLEASE READ CAREFULLY. BY USING THIS SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD,
AND AGREE TO BE BOUND BY THESE TERMS. THESE TERMS CONTAIN MANDATORY INDEMNIFICATION,
LIMITATION OF LIABILITY, ASSUMPTION OF RISK, AND BINDING ARBITRATION CLAUSES THAT AFFECT
YOUR LEGAL RIGHTS.

1. ACCEPTANCE OF TERMS
By accessing, browsing, or using MyPDFAgent (the "Service"), you ("User") agree to be
legally bound by these Terms of Service ("Terms"). If you do not agree to all of these
Terms, you are expressly prohibited from using the Service and must discontinue use
immediately.

2. NATURE OF SERVICE & PRICING
MyPDFAgent is currently provided as a free document processing utility. However:

Right to Charge: We reserve the absolute and unconditional right to introduce fees, subscription models, usage limits, or paywalls for any or all parts of the Service at any time, without prior notice. We are under no obligation to keep the Service free at any time, and we shall bear absolutely no liability to you or any third party for introducing such fees.
Right to Discontinue: We reserve the absolute right to modify, suspend, limit, or permanently discontinue the Service (or any feature, functionality, or part thereof) at any time, with or without notice, for any reason or no reason. You expressly agree that the Service Provider shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
No Guarantee of Availability: We do not guarantee any uptime, availability, or continuous operation of the Service.

3. USER RESPONSIBILITIES & PROHIBITED USES

Content Responsibility: You are solely and exclusively responsible for the content, legality, and appropriateness of all files you upload or process. You represent and warrant that you have all necessary rights to use such content.
Prohibited Content: You agree NOT to upload files containing: illegal content, malware or viruses, copyrighted material without authorization, content violating third-party rights, or data subject to regulatory requirements (e.g., HIPAA, GDPR, PCI-DSS) unless you have implemented all required legal safeguards independently.
Backups: You are solely responsible for maintaining your own backups. This Service is not a file storage or backup service. WE ARE NOT RESPONSIBLE FOR ANY DATA LOSS WHATSOEVER.
AI Features (Gemini API): By using any AI-powered features (e.g., "Chat with AI"), you acknowledge that these services are processed through the Google Gemini Free API. You agree to comply with Google's Terms of Service and Google API Terms of Service when using these features. You are strictly prohibited from using these AI tools to generate harmful, illegal, or abusive content.
Compliance: You agree to comply with all applicable local, state, national, and international laws and regulations in your use of the Service.

4. ASSUMPTION OF RISK
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
YOU ASSUME FULL RESPONSIBILITY FOR ALL RISKS ASSOCIATED WITH USING THE SERVICE,
INCLUDING BUT NOT LIMITED TO:
(A) Loss or corruption of data or documents;
(B) Unauthorized access to your files during transmission;
(C) Errors, inaccuracies, or omissions in processed documents;
(D) Incompatibility with your hardware, software, or systems;
(E) Any consequences arising from reliance on Service outputs.

5. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE PROVIDER EXPRESSLY
DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR
OTHERWISE, INCLUDING BUT NOT LIMITED TO:
(A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
AND NON-INFRINGEMENT;
(B) WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE;
(C) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE,
OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
(D) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
OR RESULTS;
(E) WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH
JURISDICTIONS, THE ABOVE EXCLUSIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED
BY APPLICABLE LAW.

6. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SERVICE
PROVIDER, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS,
EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

(A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
(B) ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS OPPORTUNITIES, OR
OTHER INTANGIBLE LOSSES;
(C) ANY DAMAGES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR
USE THE SERVICE;
(D) ANY MATTER RELATING TO OUR COLLECTION OF DATA, ANALYTICS, OR USAGE METRICS;
(E) ANY DISCONTINUATION, SUSPENSION, OR MODIFICATION OF THE SERVICE, OR THE INTRODUCTION OF FEES OR PRICING;
(F) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE;
(G) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
(H) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR
THROUGH THE SERVICE;
(I) ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE INCURRED AS A
RESULT OF THE USE OF ANY CONTENT;
(J) ANY MATTER BEYOND OUR REASONABLE CONTROL.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT
OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE GREATER OF: (I) THE AMOUNT YOU
ACTUALLY PAID THE SERVICE PROVIDER FOR THE SERVICE DURING THE TWELVE (12) MONTHS
PRECEDING THE CLAIM, OR (II) ONE HUNDRED INDIAN RUPEES (₹100) / ONE US DOLLAR ($1).

THE LIMITATIONS IN THIS SECTION SHALL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS
ESSENTIAL PURPOSE.

7. INDEMNIFICATION
You agree to fully defend, indemnify, and hold completely harmless the Service Provider
and its parent companies, subsidiaries, affiliates, officers, directors, employees,
agents, partners, suppliers, and licensors from and against any and all claims,
liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including
reasonable attorneys' fees and legal costs) arising out of or relating to:
(a) Your access to or use of the Service;
(b) Your violation of any provision of these Terms;
(c) Your violation of any third-party right, including without limitation any
intellectual property, privacy, publicity, or proprietary right;
(d) Any claim that your content or use of the Service caused damage to a third party;
(e) Your violation of any applicable law, rule, or regulation;
(f) Any misrepresentation made by you.

This indemnification obligation shall survive the termination of these Terms and your
use of the Service.

8. FORCE MAJEURE
The Service Provider shall not be liable for any failure or delay in performing its
obligations where such failure or delay results from circumstances beyond its reasonable
control, including but not limited to: acts of God, natural disasters, war, terrorism,
riots, embargoes, acts of civil or military authorities, fire, floods, epidemics,
pandemics, strikes, power outages, internet or telecommunications failures, hardware
failures, cyberattacks, or any other event outside our reasonable control.

9. DISPUTE RESOLUTION & ARBITRATION
Any dispute, controversy, or claim arising out of or relating to these Terms or the
Service shall be resolved through binding arbitration rather than in court. You agree
to waive any right to a jury trial or to participate in a class action. The arbitration
shall be conducted on an individual basis, and you may not consolidate claims with
those of any other person.

10. CLASS ACTION WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION
PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS,
CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE
IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

11. MODIFICATIONS TO TERMS
We reserve the absolute right to modify, amend, or update these Terms at any time
and for any reason, in our sole discretion, without prior notice. Changes become
effective immediately upon posting. Your continued use of the Service after any
modifications indicates your acceptance of the modified Terms. It is your sole
responsibility to review these Terms periodically.

12. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable
by a court of competent jurisdiction, such invalidity, illegality, or unenforceability
shall not affect any other provision of these Terms, and the remaining provisions
shall remain in full force and effect. The invalid provision shall be modified to
the minimum extent necessary to make it valid and enforceable while preserving the
parties' original intent.

13. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any other legal notices or
agreements published by us on the Service, constitute the entire agreement between
you and the Service Provider regarding your use of the Service and supersede all
prior agreements, understandings, and communications.

14. NO WAIVER
The failure of the Service Provider to enforce any right or provision of these Terms
shall not constitute a waiver of such right or provision. Any waiver of any provision
of these Terms will be effective only if in writing and signed by the Service Provider.

15. GOVERNING LAW & JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of India,
without regard to its conflict of law provisions. You agree to submit to the exclusive
jurisdiction of the courts located in New Delhi, India, for the resolution of any
disputes arising out of these Terms or your use of the Service.
